Terms of Service

Contractual terms for merchants and organisations using Euro.Reviews.

Scope and contracting parties

These Terms govern access to and use of Euro.Reviews, a review collection, management, publication and analytics service operated by European Business Solutions s. r. o., company ID 54230012, with registered office at Budatínska 3718/20, 851 06 Bratislava - Petržalka, Slovak Republic (the “Operator”).

A merchant, organisation or other business customer that creates an account, accepts an order form or uses a paid or trial plan is the “Client”. These Terms are intended for business use. A person accepting them confirms that they are authorised to bind the Client.

The agreement consists of these Terms, the selected plan or order form, the Data Processing Addendum, the Review and Content Rules, the Moderation and Appeals Policy and any provider-specific billing terms shown during installation or checkout.

Service and accounts

Euro.Reviews may collect post-purchase invitations, shop and product reviews, questions and answers, merchant replies, public profiles, widgets, translations, AI-assisted summaries, analytics, imports and integrations. Available functions and limits depend on the selected plan and connected commerce or billing provider.

  • The Client must provide accurate account and company information and keep it current.
  • Login credentials and API keys must be protected and used only by authorised users.
  • The Client is responsible for actions performed through its account and for configuring user permissions.
  • Security incidents, unauthorised access or suspected misuse must be reported without undue delay.

Trial, plans, billing and taxes

A trial may be offered without a payment card for the period shown during registration. Unless a paid plan is activated, trial access may end automatically. Plan limits may cover orders, invitations, users, shops, domains, AI credits or other measurable capacity.

Paid subscriptions are billed in advance through the billing provider associated with the account, which may include Stripe or a commerce marketplace such as Shopify or another supported provider. The provider shown at checkout controls payment authorisation, invoices and provider-specific cancellation mechanics.

Prices exclude VAT or similar taxes unless expressly stated. The Client must provide correct billing and tax information. Failed payments, chargebacks or expired authorisations may lead to a grace period, restriction or suspension. Plan changes, cancellation timing and renewal follow the information displayed before confirmation.

Client obligations and fair review collection

The Client must use the Service lawfully and in accordance with the Review and Content Rules. Review invitations must be neutral, consistent and connected to a genuine customer experience.

  • Do not invite only customers expected to leave positive feedback or suppress invitations after negative experiences.
  • Do not offer discounts, gifts, refunds, loyalty benefits or other incentives conditional on a positive review, editing a review or removing criticism.
  • Do not submit reviews on behalf of customers or create reviews through employees, owners, family members, competitors or persons with a conflict of interest.
  • Do not upload personal data that is unnecessary for invitations, verification or the agreed Service.
  • Do not pressure, threaten or retaliate against reviewers.

The Client must have a lawful basis and provide required privacy information before sending order, customer or invitation data to Euro.Reviews.

Review independence, content and moderation

The Client does not acquire a right to edit, hide or delete a review merely because it is negative or disputed. The Client may reply and may report content that appears to violate published rules. Euro.Reviews decides independently whether visibility should be restricted.

Reviews normally remain public while a report is assessed. A temporary restriction may be used where necessary for apparently illegal content, serious threats, exposed personal data or comparable harm. Automated tools may prioritise and recommend outcomes but must not make the final removal decision.

Reviewers retain rights in their content and may edit or delete their own reviews through available verification mechanisms. By submitting content, the reviewer grants the Operator the non-exclusive rights needed to store, translate, display, distribute and technically adapt it for the Service, widgets, feeds and integrity functions.

Imported reviews and external sources

Imported reviews must be lawfully obtained and accompanied by reliable provenance. Euro.Reviews may label the source, exclude imported content from Euro.Reviews scores or external partner feeds and request evidence of authenticity.

The Client must not import content in breach of another provider’s terms, intellectual property rights or data protection law. Euro.Reviews may refuse, quarantine or delete an import that lacks adequate provenance or creates a misleading impression.

AI, translations and generated output

AI functions may translate reviews, draft merchant replies, generate summaries, classify reports or analyse themes. Outputs may be incomplete or inaccurate and require human review before business, legal, safety or customer-service action.

The Client remains responsible for merchant replies and its use of AI output. Euro.Reviews will not use AI as the sole final decision-maker for removing or restricting a review. AI usage may consume plan credits according to actual processing.

Data protection and confidentiality

Where Euro.Reviews processes order, invitation or other Client Personal Data solely on documented instructions, the Data Processing Addendum applies. For operating the public review service, protecting integrity, handling reports and meeting legal obligations, the Operator may act as an independent controller as explained in the privacy notices.

Each party must protect the other party’s non-public business, technical and security information and use it only for the agreement, except where disclosure is required by law or the information is already lawfully public.

Availability, changes and integrations

The Operator aims to provide a reliable service but does not guarantee uninterrupted availability. Maintenance, security incidents, internet failures, provider outages or legal requirements may affect access. Backups and reasonable recovery measures are maintained according to the Service’s operational design.

Third-party services and commerce integrations remain subject to their own terms. The Operator is not responsible for changes, outages or restrictions imposed by those providers, but will use reasonable efforts to keep supported integrations operational.

Intellectual property

The Operator and its licensors retain all rights in the Service, software, design, documentation, trademarks and non-Client materials. The Client receives a limited, non-exclusive, non-transferable right to use the Service during the agreement.

The Client retains rights in its logos, merchant information and other Client materials and grants the Operator the rights needed to host, display and process them for the Service.

Suspension and termination

The Operator may restrict or suspend access where necessary to address security risk, unlawful use, repeated rule violations, non-payment or material breach. Where reasonably possible, the Client will be informed and given an opportunity to remedy the breach.

On termination, the Client may export available account data during the period communicated by the Operator. Data is then deleted or anonymised according to the agreement, the DPA, retention duties and the independent-controller purposes applicable to public reviews and moderation records.

Liability

To the maximum extent permitted for a business-to-business agreement, neither party is liable for indirect or consequential loss, lost profit or loss caused by circumstances outside reasonable control. The Operator’s aggregate contractual liability is limited to fees paid by the Client for the Service during the twelve months preceding the event giving rise to the claim.

No limitation applies where prohibited by law, including liability caused intentionally or by gross negligence, or for obligations that cannot legally be limited. The Service does not replace legal, tax or professional advice.

Changes, governing law and contact

Material changes will be announced in advance where reasonably possible. Changes required for law, security, abuse prevention or a new provider obligation may take effect earlier. Continued use after the effective date constitutes acceptance; if the Client does not accept a material change, it may terminate before that date.

The agreement is governed by Slovak law. Courts of the Slovak Republic have jurisdiction, without limiting mandatory rights or applicable dispute-resolution rules that cannot be excluded.
